Terms of Service

These Terms of Service ("Terms") govern your access to and use of Audia Automation (the "Application", "Service"), operated by Audia Automation Ltd ("we", "us", "our"). By creating an account or using the Application, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Audia Automation is a desktop application that automates the workflow for music producers, including audio analysis, AI-generated metadata, visualiser video generation, and uploading content to YouTube and BeatStars. The Service is provided on a subscription basis.

2. Eligibility

You must be at least 16 years old to use the Service. By using it, you confirm that you have the legal capacity to enter into a binding agreement.

3. Your Account

To use the Service, you must create an account with a valid email and password. You are responsible for keeping your login credentials secure, all activity on your account, and notifying us immediately of any unauthorised use.

You must provide accurate information and keep it up to date.

4. Subscriptions and Payment

Subscription Tiers. The Service is offered in multiple tiers (Starter, Pro, Industry). Each tier has a specific feature set and usage limit, described on our pricing page.

Billing. Paid subscriptions are billed monthly or annually in advance via Stripe. Prices are listed in USD unless otherwise stated and exclude any applicable taxes.

Auto-Renewal. Paid subscriptions automatically renew at the end of each billing period unless cancelled before renewal. You can cancel anytime from within your account.

Price Changes. We may change subscription prices with at least 30 days' notice via email. If you do not agree to the new price, you can cancel before it takes effect.

Failed Payments. If a payment fails, we may suspend your access until payment is resolved. Repeated failures may result in account closure.

5. Refunds and Cancellation

UK and EU 14-Day Cooling-Off Right. If you are a consumer based in the UK or EU, you may cancel your subscription within 14 days of initial purchase for a full refund. To exercise this right, email us at info.audiaautomation@gmail.com. By starting to use the Application within this period, you agree that we may begin providing the service and accept that you will lose your right to a refund if the service is fully delivered (that is, once you have used the Application).

Outside the Cooling-Off Period. Refunds are not provided for unused time on a subscription, except at our discretion in cases such as proven service failure.

Cancellation. You may cancel your subscription at any time from your account. Cancellation stops future renewals; access continues until the end of your current billing period.

6. Your Use of the Service

Permitted Use. You may use the Service to automate uploads of music content for which you hold the necessary rights.

Your Content. You retain all intellectual property rights in the music, videos, metadata, and other content you upload through the Service ("Your Content"). You grant us a limited licence to process Your Content solely for the purpose of providing the Service.

Responsibility for Your Content. You represent that you own or have the necessary rights, licences, and permissions to upload Your Content; that Your Content does not infringe any third party's intellectual property, privacy, or other rights; and that you will not use the Service to distribute content that infringes copyright, defames any person, or is otherwise unlawful.

You alone are responsible for any consequences arising from Your Content, including takedown notices, copyright claims, account suspensions, or legal actions from YouTube, BeatStars, or any rights holder.

7. Prohibited Uses

You must not:

  • Use the Service to upload infringing, illegal, defamatory, or harmful content.
  • Attempt to circumvent subscription limits, anti-fraud measures, or technical protections.
  • Reverse-engineer, decompile, or extract the source code of the Application.
  • Use the Service to send spam or abuse third-party platforms.
  • Use a single account on behalf of multiple users or share account credentials.
  • Use the Service in a way that violates the terms of service of YouTube, BeatStars, or any other platform we integrate with.

We may suspend or terminate your account for any violation of these prohibitions.

8. Third-Party Platforms

The Service integrates with YouTube (via Google APIs) and BeatStars (via browser automation). Your use of these platforms is governed by their own terms of service:

You are responsible for complying with each platform's terms. We are not liable for actions taken by these platforms against your accounts, including suspensions or content takedowns.

9. Intellectual Property (Ours)

The Application, including its code, design, branding, and documentation, is owned by Audia Automation Ltd and protected by copyright, trademark, and other laws. You receive a personal, non-exclusive, non-transferable, revocable licence to use the Application during your subscription. You do not gain any other rights.

10. Service Availability

We aim to provide a reliable service, but we do not guarantee uptime or uninterrupted availability. The Service is provided "as is" and "as available". We may suspend the Service for maintenance, updates, or security reasons.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, loss of beats or videos, or loss of YouTube or BeatStars accounts or earnings.
  • Our total aggregate liability for any claim arising from the Service is limited to the amount you paid us in the 12 months before the claim arose, or £100, whichever is greater.
  • Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under English law.

13. Indemnity

You agree to indemnify and hold us harmless from any claim arising from your use of the Service, including any claim that Your Content infringes a third party's rights, or any claim arising from your violation of these Terms or any third-party platform's terms.

14. Termination

You may stop using the Service at any time by deleting your account. We may suspend or terminate your account, with or without notice, for any breach of these Terms or for any reason that protects the security or operation of the Service. On termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (for example, liability, indemnity, intellectual property) will survive.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via email and in the Application at least 30 days before they take effect. Continuing to use the Service after changes take effect means you accept the new Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of England and Wales, except where consumer protection laws of your country of residence grant you the right to bring proceedings in your local courts.

17. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the rest remain in effect.
  • No Waiver: Failure to enforce any right under these Terms does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign them to a successor in connection with a sale or restructuring of our business.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us about the Service.
